Terms and conditions

Applicable to all contracts between atori GmbH and its commercial customers regarding the purchase of Redmine plugins.

The binding version of these terms is the German version published at /de/agb.html. This English version is provided for convenience only.

§ 1 Scope, customers

(1) These terms and conditions ("T&C") apply to all contracts between atori GmbH, Südring 17, 69514 Laudenbach, Germany (hereafter "atori") and the customer regarding the purchase of the Redmine plugins offered on this website and related services.

(2) The offerings are aimed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special public funds. A contract with consumers within the meaning of § 13 BGB is excluded.

(3) Deviating terms of the customer shall not become part of the contract unless atori expressly agrees to their validity in writing.

§ 2 Formation of contract

(1) The presentation of the plugins on this website does not constitute a legally binding offer, but an invitation to submit an offer.

(2) Payment processing is handled via the Paddle platform (Paddle.com Market Ltd.). By placing an order through the Paddle checkout, the customer submits a binding offer to conclude a purchase agreement. The contract comes into effect when Paddle confirms the payment and the customer receives the subsequent download e-mail.

§ 3 Scope of services

(1) atori delivers the purchased plugin as a digital download in the form of a ZIP file, including the associated source code and installation documentation.

(2) The purchase price includes twelve months of updates from the date of purchase. This includes bug fixes, feature additions and compatibility updates for plugin versions released within this period. After the twelve months have expired, continued use of the most recently delivered version is permitted indefinitely; further updates can be obtained by concluding an update renewal.

(3) During the update period atori provides support via e-mail to support@atori.de. An initial response is provided within 48 hours on business days.

§ 4 Licence

(1) The plugins offered are licensed under the GNU General Public License, version 2 (GPLv2). The customer receives all rights granted by the GPLv2, including the right to copy, modify and distribute the source code under the same licence terms. The full source code is included in the downloaded release archive (GPLv2 § 3a); no separate source request is required.

(2) The purchase price is calculated per productive Redmine instance. Test and staging instances of the same customer are covered by the purchase price of the associated production instance.

(3) The customer's entitlement to updates and support is not tied to the redistribution of the source code; it is tied to the original purchaser and is not transferable to third parties.

§ 5 Prices and payment

(1) All prices are net and exclude statutory VAT unless they are expressly marked as gross. Applicable taxes are remitted by Paddle as merchant of record.

(2) Payment is made using the payment methods offered by Paddle. atori does not receive any credit card or bank account details of the customer.

§ 6 Download and delivery

(1) After successful payment Paddle provides the customer with an e-mail containing a download link for the respective plugin version. The customer may use the link multiple times within the stated validity period.

(2) Installation of the plugin in the Redmine environment is the customer's responsibility. atori provides installation instructions for this purpose.

§ 7 Data protection

(1) The plugin is installed and operated in the customer's own infrastructure. During regular plugin operation atori does not have access to any personal data processed within the customer's Redmine installation. No processing of personal data on behalf of the customer within the meaning of Art. 28 GDPR takes place in this regard.

(2) When handling support requests, the customer may transmit personal data to atori (e.g. log excerpts, screenshots, database exports). The customer is solely responsible for selecting such data, for assessing its necessity and – where feasible – for anonymising it before transmission. atori processes the transmitted data exclusively for the purpose of handling the respective support case and deletes it after closure of the case, at the latest after 90 days.

(3) Payment processing via Paddle (Paddle.com Market Ltd.) is carried out by Paddle as an independent controller. Paddle is not a processor for atori in this context. Paddle's privacy notice is available at paddle.com/legal/privacy.

(4) If the customer requires a data processing agreement under Art. 28 GDPR because of additional services (e.g. extended maintenance or hosting with direct data access), the parties shall enter into such an agreement upon the customer's request.

(5) For the use of this website, the privacy policy applies.

§ 8 Right of withdrawal

A statutory right of withdrawal exists only for consumers. As the offer is exclusively aimed at entrepreneurs pursuant to § 1 para. 2, no right of withdrawal applies. The right to extraordinary termination for good cause remains unaffected.

§ 9 Refunds

Within fourteen calendar days of the order date the customer may request a full refund of the purchase price. Requests are submitted by e-mail to support@atori.de quoting the Paddle order number. The payout is processed by Paddle as merchant of record to the original payment method.

§ 10 Warranty

(1) atori warrants that at the time of delivery the plugin will substantially conform to the functional description published on this website.

(2) Defects must be reported without undue delay after discovery, in writing or by e-mail. atori will, at its own discretion, either rectify the defect or provide a defect-free version (remedy). If the remedy fails after two attempts, the customer may reduce the purchase price or withdraw from the contract.

(3) The warranty period is twelve months from delivery.

§ 11 Liability

For intent and gross negligence, including that of our vicarious agents, we are liable in accordance with statutory provisions. The same applies to negligently caused damages from injury to life, body or health.

§ 12 Reference naming

After the customer's approval, atori is entitled to name the customer as a reference on its own website. The approval can be revoked at any time.

§ 13 Final provisions

(1) The laws of the Federal Republic of Germany apply exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with the contractual relationship is, to the extent legally permissible, Mannheim, Germany.

(3) Should individual provisions of these T&C be or become wholly or partly invalid, the validity of the remaining provisions shall remain unaffected.
